IBNESTO Affiliate Program Terms

The following terms and conditions of this agreement (Terms or Agreement) apply to you, the affiliate (you, your or Affiliate) governing your participation in the Affiliate Program offered by IBNESTO and Caweem LLC (we, us, our).

By joining the affiliate program, you agree to abide by all of the terms contained in this agreement.

Promotion Methods

To get organizations to signup for paid plans on IBNESTO, you, the affiliate must follow the procedure below:

  1. Identify and shortlist businesses that operate in any field of Engineering, Science or Technology
  2. Check if any of these shortlisted businesses are already listed on IBNESTO. To do this check, enter the names of the shortlisted businesses into the search bar on IBNESTO, one by one. Do this for all shortlisted organizations.
  3. Check if another affiliate has already recommended an organization that is included in this shortlist. If an organization has already been recommended by an affiliate before, you cannot recommend that organization to us again. You should check all of your shortlisted organizations in this way.
  4. After verifying that an organization is not listed on IBNESTO and has not already been recommended to us by other affiliates, you may send us your recommendation via our recommendation form.
  5. Once we have received the affiliates’ recommendations, we will reach out to these organizations to join IBNESTO, while protecting the rights and the privacy of both the affiliate and the person being contacted.

 

Tracking of Affiliate Conversions

To track progress, affiliates can use the search bar on IBNESTO to find out if the organization that the affiliate recommended has registered with one of the paid plans, namely Growing Business, Premium Business, Supreme Business or Enterprise plan.

The Plan that the Organization has purchased is visible as a badge on the profile of the organization.

We will also inform the affiliate via the affiliate’s registered email when an organization that the affiliate recommended registers with a paid plan.

By entering this agreement you agree that the first affiliate to refer or recommend an organization to us will get the commission for the referral.

Multiple affiliates will not be paid for referring the same organization.

Affiliate Commissions

Affiliates will only be paid commission when the organization that the affiliate recommended to us registers for a paid plan, which includes, Growing Business, Premium Business, Supreme Business and Enterprise plans.

If the organization that the affiliate referred to us registers for the free Basic Business plan, the affiliate will not be paid any commission until the organization upgrades to one of the paid plans.

For paid plans, Affiliate commissions will not be paid out on renewals or upgrades.

Affiliate commissions will be paid out 60 days after an organization registers with a paid plan.  

Commissions will be paid out via PayPal or TransferWise only. The fees involved in the transfer of commission from our accounts to the affiliate’s account shall be borne by the affiliate.

You as an Affiliate, also agree that in the event of a dispute regarding attribution or payment, our sole decision shall be final and binding.

If the organization recommended by the affiliate requests a refund, then the commission for this payment will be removed from the account of the affiliate.

We reserve the right to deduct from your current and future commissions any and all commissions paid out for sales that are fraudulent, questionable, or canceled.

Where no current and future commissions are due, we will send you, the affiliate, a bill for the balance of such refunded purchase upon termination of the program or termination of the referred organization.

If the affiliate engages in any fraudulent practices, that are determined by us to be in contradiction with the terms of this agreement or the law, the affiliate agrees that the commission payout for such leads may be forfeited.

We may suspend your commission payouts at any time and for any period, if we suspect fraudulent or other improper activity or a potential violation of this Agreement by you or any organization you refer.

Responsibilities of the Affiliate

As an affiliate of IBNESTO, you agree that:

  • You will not violate any applicable laws,
  • You will not engage in any fraudulent practices,
  • You will abide by the privacy and consumer protection laws of the jurisdiction in which you are located, the laws of the jurisdiction(s) where your recommended organization(s) is (/are) located, and the privacy and consumer protection laws of the United States of America and the State of Delaware.
  • You will keep your information up to date,
  • You will not take actions or make recommendations in a way that results in a potential revenue loss for us.

 

Indemnification

You agree to indemnify the members, employees and contractors of IBNESTO and Caweem LLC, against any liabilities, damages, claims, losses, fines, suits, litigation costs, and legal fees, arising out of or relating to your inappropriate or unlawful use of our services or violation of any of the terms of this Agreement.

This provision shall survive termination of the Agreement.

Limitation of Liability

By joining this affiliate agreement, you agree that, to the extend permitted by law, the members, employees and contractors of IBNESTO and Caweem LLC, will not be liable, under any circumstances, for any kind of indirect, consequential, incidental, special, exemplary or punitive damages, including, but not limited to, damages for loss of profits, revenues, business, cost savings, data, or other financial losses.

You also agree that, to the extent permitted by law, the aggregate liability of IBNESTO, for any claims under these terms, is limited to the amount you have paid us for our services during the one month preceding a claim giving rise to such a liability.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages and you agree that in those jurisdictions, our liability will be limited to the extent permitted by law.

This provision shall survive termination of the Agreement.

Taxes

We shall not be responsible for any taxes owed by the affiliate arising out of the Affiliate’s relationship with us as set forth in this agreement. We will not withhold any taxes from the commissions that we pay to our affiliates.

Thus, by signing up for the affiliate program, the affiliate agrees to pay all applicable taxes, if any, to the relevant authorities, for the income generated by affiliate because of promoting our products and services.

Governing Law

You agree that any dispute, controversy or claim arising under this Agreement shall be resolved in accordance with the laws of the State of Delaware.

Account Termination

We reserve the right to terminate the affiliate’s access to our services and the affiliate program at our sole discretion for any or no reason, including your breach of the terms of this agreement or a violation of the law, and without any prior notice.
